Terms of Service

1. Acceptance of Terms
1.1 Agreement to Terms
By accessing or using OrdersFlow (the "Service"), including our website at ordersflow.co.za and our Chrome browser extension, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
1.2 Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
1.3 Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service you represent that you meet these requirements.
2. Account Registration
2.1 Creating an Account
To access the Service you must create an account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
2.2 Accurate Information
You agree to provide accurate, current, and complete information when creating your account and to update this information to keep it accurate, current, and complete.
2.3 Account Security
You must notify us immediately at support@ordersflow.co.za if you suspect any unauthorised access to or use of your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.
3. Subscription and Payment
3.1 Subscription Plans
The Service is offered on a monthly subscription basis at R299.99 per month. Pricing is subject to change with reasonable notice provided to subscribers.
3.2 Billing
Subscriptions are billed monthly in advance via PayFast. By subscribing you authorise us to charge your selected payment method on a recurring monthly basis until your subscription is cancelled.
3.3 Failed Payments
If a payment fails, your access to the Service may be suspended. We will attempt to notify you of a failed payment and provide a reasonable period to update your payment details before suspending access.
3.4 Taxes
You are responsible for all applicable taxes on payments made for the Service. Pricing displayed may or may not include VAT, and your payment receipt will reflect the applicable tax breakdown.
4. Licence Grant and Restrictions
4.1 Licence Grant
Subject to these Terms and payment of the applicable subscription fees, OrdersFlow grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Chrome extension and access the web platform solely for your own internal business purposes.
4.2 Restrictions
You may not:
- Copy, distribute, sell, resell, or sublicence the Service or any part thereof;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
- Modify or create derivative works based on the Service;
- Use the Service to provide services to third parties or operate a bureau service;
- Remove or alter any proprietary notices or labels on the Service;
- Use the Service in any way that violates any applicable law or regulation.
4.3 One User Per Licence
Each subscription licence is for a single user. You may not share your account credentials or allow multiple individuals to use the same account simultaneously.
4.4 One Shopify Store Per Subscription
Each subscription covers a single Shopify store and provides one licence key for that store. There is no limit on the number of shipments or orders you may process for that store. If you operate more than one Shopify store, a separate subscription and licence key is required for each additional store. You may not use a single licence key across multiple Shopify stores.
5. Intellectual Property
5.1 Ownership
The Service, including all software, algorithms, designs, text, graphics, and other content, is owned by OrdersFlow and is protected by applicable intellectual property laws. These Terms do not transfer any ownership rights to you.
5.2 Feedback
If you submit feedback, suggestions, or ideas about the Service, you grant us an irrevocable, perpetual, royalty-free licence to use and incorporate such feedback without any obligation to you.
6. Third-Party Services
6.1 Shopify and Aramex
The Service interacts with third-party platforms including Shopify and Aramex Store-to-Door. Your use of these platforms is governed by their respective terms of service. We are not affiliated with, endorsed by, or a partner of Shopify Inc. or Aramex International.
6.2 No Warranty on Third-Party Integrations
We do not guarantee uninterrupted compatibility with third-party platforms. Changes to Shopify's or Aramex's interfaces may affect the functionality of the Service, and we will endeavour to update the extension in a timely manner when such changes occur.
7. Termination
7.1 Termination by You
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Your access to the Service will continue until the end of the paid period. Please refer to our Refund & Cancellation Policy for full details.
7.2 Termination by Us
We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms, fail to pay applicable fees, or engage in conduct that we determine, in our sole discretion, to be harmful to the Service or other users.
7.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.
8. Governing Law and Disputes
8.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, without regard to conflict of law principles.
8.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If unresolved, disputes shall be submitted to the jurisdiction of the courts of the Republic of South Africa.
9. Disclaimer of Warranties
9.1 "As Is" Basis
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.2 No Guarantee of Availability
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Temporary interruptions may occur for maintenance, updates, or circumstances beyond our control.
9.3 Third-Party Platform Changes
We do not warrant that the Service will remain compatible with Shopify or Aramex Store-to-Door indefinitely. Changes made by those platforms may require updates to the extension, and we disclaim liability for any loss of functionality during such periods.
9.4 Data Accuracy
The Service automates the transfer of data between platforms. You remain responsible for verifying that shipment details are accurate before submitting any shipment. We are not liable for errors arising from inaccurate data in your source systems.
9.5 Limitation of Liability
To the maximum extent permitted by applicable law, OrdersFlow and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of these Terms or the Service shall not exceed the total fees paid by you in the three months preceding the claim.
